This Affiliate and Publisher Terms & Conditions is effective as of May 5, 2018.
Please read the following information carefully as it governs your access and use of https://www.funneltrafficpros.com/ and any services provided therein. These Terms and Conditions are a legal agreement between the Funnel Traffic Pros Network (the “Program”) and you (the “Publisher”). Your participation in the Program is subject to all the terms, conditions, provisions, and limitations below.
- THE PROGRAM
1.1 Participation in the Program is subject to prior approval by Funnel Traffic Pros (FTP). FTP reserves the right to refuse service to any new or existing Publisher for any reason, within its discretion. Once the Publisher has signed up, FTP reserves the right, in its sole discretion and without liability, to accept, reject, omit or exclude any Publisher, any time with or without notice.
1.2 Once approved, the Publisher will be issued a unique username and password to access the Program Site. This information should only be used but the intended Publisher not by any other person.
1.3 FTP allows the Publisher to hire Sub-Publishers to distribute offers as per the Program, provided that the Publisher has a written approval from FTP to contract Sub-Publishers.
- OFFER AND PLACEMENT
2.1 Placement of offers is at the discretion of FTP.
2.2 All the offers will be placed on the Program’s sites.
2.3 FTP permits the Publisher a limited, non-exclusive, non-transferable, revocable right to download Offers from the Program Site and to display, transmit, distribute or publish the same, as is necessary, to perform this Agreement.
- RESTRICTIONS
3.1 The Publisher shall not modify, publish derivative works, translate, or alter any Offer unless given express written permission by FTP.
3.2 Publisher shall not use or authorize the use of the FTP’s site for any purpose not specified in this Agreement.
3.3 FTP reserves the right to terminate a publisher’s account immediately if the publisher product contains the following:
• Indecent or pornographic material.
• Software pirating or any site that violates the third-party intellectual property rights.
• Mp3 websites that do not have the legal right to distribute Mp3 files.
• Hacking/phishing or any other sites that invade the rights of computer users.
• Any material which is abusive, threatening, hateful, slanderous, defamatory, or detrimental to the reputation of any individual or entity.
• Incentive-based websites.
• Spamming or any illegal activity.
- PAYMENT
4.1 All rates are subject to change.
4.2 Payment to the Publisher shall be based on commission and are calculated following the payment terms stated in each Offer placed by FTP on the Program Site. All payments will be made in US currency.
4.3 Publishers will be paid at the account level, and the commissions are only payable to that Publisher if they exceed one hundred US Dollars.
4.4 FTP reserves the right not to pay any Publisher who breaches this Agreement. FTP will be responsible for determining at its sole and absolute discretion which acts, and omissions violate this Agreement, and which acts include activity that is deceptive or fraudulent.
- INDEMNIFICATION
5.1 Indemnification by Publisher. Publisher shall indemnify, defend, and hold harmless FTP and its directors, officers, employees, and its respective successors, heirs against any liability, loss, damage, or expenses incurred by or imposed on the FTP parties or any one of them in regards to any third-party claim, action, suit, demand or judgment.
5.2 Indemnification by FTP. FTP agrees to defend, compensate, and save the Publisher, its company, their directors, employees, and officers, from any third party claims or demands, including all expenses, disbursements, and attorneys’ fees, actually incurred, or arises out of a breach by FTP of any warranty, representation or covenant given to the Publisher in this Agreement.
- LIMITATION OF LIABILITY
Under no circumstances shall either FTP or the publisher be liable to each other for indirect, incidental, consequential, special, or exemplary damages (even if a party has been advised of the possibility of such damages), arising from any aspect of the relationship provided herein.
- TERMINATION
7.1 Either party may terminate this Agreement at any time, for any reason whatsoever, upon written notice to the other party.
7.2 FTP must give a six hours’ notice to the Publisher to terminate the agreement while the Publisher must provide forty-eight (48) hours’ Notice to FTP.
